I am logged in as the site administrator.  Followed the upgrade instructions (saved my settings file, deleted all civicrm plugin files, uploaded all new plugin files, replaces settings file) and now get "You do not have sufficient permissions to access this page." when I try to visit the upgrade page at ../wp-admin/admin.php?page=CiviCRM&q=civicrm/upgrade&reset=1

It appears that I had to active the CiviCRM plugin first...  then it worked.  :)
